UGC Marketplace Terms

These UGC Marketplace Terms ("UGC Terms") are part of the ViewStage Terms of Service (the "master Terms") and govern engagements booked through the ViewStage UGC Marketplace. You accept these UGC Terms when you open a UGC workspace. They apply together with the master Terms and the Privacy Policy; capitalized terms not defined here have the meanings in the master Terms.
U1. Scope and precedence
These UGC Terms incorporate, and are incorporated into, the master Terms. They apply to UGC Marketplace listings, contracts, and pay cycles ("UGC engagements"). For UGC engagements, where these UGC Terms conflict with the master Terms, these UGC Terms control; in particular, Section U2 controls over master Terms Section 18, Section U3 over Section 5, and Sections U8 and U11 over Sections 9 through 11. Sponsorship deals remain governed by the master Terms alone.
U2. Parties and ViewStage's role
A UGC engagement is a contract between the brand and the creator. The creator is an independent contractor of the brand for the creative engagement, and is not an employee, agent, or contractor of ViewStage. ViewStage provides the software that hosts the engagement and processes payment between the parties, and is not a party to the creative engagement itself.
U3. Content ownership, IP assignment, and usage rights
Until a submission is approved and its payment settled, the creator owns the content. When a submission is approved (by the brand, or deemed approved under Section U6) and the corresponding payment is settled under Section U8, the creator assigns to the brand all right, title, and interest in the approved deliverable, including copyright, worldwide and in perpetuity, including use as a paid advertisement. For organic listings (where the creator posts to their own account), the creator also grants the brand the right to repost the content and to promote it as a boosted, partnered, or spark ad, and agrees to keep the post live for the period stated in the listing.
For every submission, the creator represents and warrants that:
- they own or have all rights needed for the content and for the assignment above, including all music and audio, third-party footage, and the name, image, and likeness of every person who appears;
- they will clearly disclose the paid nature of posted content as the FTC's endorsement guidelines require; and
- the content complies with the Acceptable Use & Community Guidelines.
U4. Engagement structure and pay
UGC engagements run in recurring pay cycles. A listing states one of six pay structures: a fixed amount per cycle, per approved post, per approved upload, hourly, per view (CPM), or a mixed fixed base plus a per-view component; a structure may also include view-milestone bonuses. The pay structure and rates are shown before the creator accepts, and the accepted terms are locked for the engagement.
U5. View-based pay requires a connected account
Pay components computed from views (CPM earnings and view-milestone bonuses) require the creator to connect the social account that will host the post, so views can be measured from the platform's own reporting. Without a connected account a creator can still take fixed, per-post, per-upload, and hourly engagements, and on a mixed structure the fixed base is payable without view measurement. Views are measured at each cycle's settlement dates, and the brand is charged per settlement as described in Section U8.
U6. Review, revisions, and deemed approval
Every submission goes through an automated AI review before the brand sees it, calibrated for the listing's content format (see Section 3 of the Privacy Policy). A submission that does not pass may be revised and resubmitted up to three times per required post; a post that fails review after the third revision is closed as rejected, with the reason recorded and shown to the creator. Once every required post in a cycle passes AI review, the brand may approve, request changes, or reject; if the brand takes no action for 5 days after the cycle's required posts pass AI review, those submissions are automatically approved. Payment for approved work follows the cycle settlement schedule in Section U8: settlement occurs after the cycle's billing period ends and, for organic listings with posting enabled, after the post is published and verified.
U7. Pre-post approval
Each organic listing sets whether the creator may post before brand approval or must wait for it. Both modes gate payment on AI review and approval (including deemed approval); the setting controls only whether posting is blocked until approval. Paid-ad listings are download-only: the brand downloads the approved file and runs it from its own ad accounts, and the creator does not post.
U8. Payments and fees (non-custodial; 0% take)
ViewStage charges the brand's payment method for each settlement as it comes due and pays the creator through Stripe Connect. ViewStage takes 0% of creator payments. For UGC settlements, no platform fee is added to the brand's charge and none is deducted from the creator's payout: the amount transferred to the creator's connected account equals the amount charged to the brand for that settlement, and Stripe's processing fee on the charge is borne by ViewStage. ViewStage's UGC revenue is the brand subscription (Section U11), not a share of creator payments.
ViewStage does not hold customer balances. There is no wallet or stored-value account: each settlement is charged to the brand individually when it comes due, and each creator payment is transferred from its own charge. A cycle can produce more than one settlement charge (for example, a fixed base and a separate view bonus). Settlement amounts under US $1.00 are not charged; they carry forward to the engagement's next settlement, and amounts still under US $1.00 when the engagement ends are neither charged nor paid. Fees imposed by third parties on the creator's side of a payout (such as currency conversion or bank fees) are outside ViewStage's control and are not covered by this section. If ViewStage cannot complete a settled payment to the creator, it will refund the brand's charge for that settlement.
U9. Non-circumvention
Section 12 of the master Terms applies to UGC engagements. Taking an engagement or working relationship discovered through the UGC Marketplace off-platform to avoid the platform is prohibited. Because the harm from circumvention is real but difficult to measure, brand and ViewStage agree that liquidated damages of US $2,500 per creator per occurrence are a reasonable pre-estimate of ViewStage's loss and not a penalty.
U10. Taxes
Creators are paid through Stripe Connect and must complete Stripe's onboarding, including any tax forms Stripe requires (such as a Form W-9 or W-8, as applicable). Tax forms such as Form 1099 are generated and delivered by Stripe where required by applicable law. Creators are responsible for their own taxes; ViewStage does not withhold taxes from payments.
U11. Brand subscriptions
The UGC Marketplace is available to brands under the Starter, Growth, Scale, and Enterprise plans described on the pricing page. Paid plans start with a 7-day free trial at $0; if no valid payment method is on file when the trial ends, the subscription is canceled without charge. Before checkout, the renewal price and cadence are disclosed and your affirmative consent to automatic renewal is required. Subscriptions renew automatically each billing period at the then-current price until canceled. Before a trial ends, ViewStage emails a reminder to the workspace's billing address, and each renewal charge comes with an emailed receipt. You may cancel online at any time from your billing page; cancellation takes effect at the end of the current billing period, you keep access until then, and canceling during the trial avoids the first charge. Subscription fees are non-refundable, including for partial periods. Plan limits (such as concurrent active listings and hires, and monthly invite and boost allowances) are stated on the pricing page and enforced by the product.
U12. Finality and reversal of released payments
In the ordinary course, a creator payment released after approval is final. If the funding charge behind a settlement is charged back by the brand's bank or flagged by the card issuer as likely fraud, ViewStage reverses the released creator transfer for that settlement through Stripe. If a chargeback is later resolved in ViewStage's favor, ViewStage releases the reversed payment to the creator again; if that payment cannot be completed, Section U8 governs the refund of the brand's charge. ViewStage may also reverse a released transfer in connection with a violation of these UGC Terms or the master Terms, and may recover or offset related amounts as permitted by law and by Stripe's Connect terms.
Recovery from a creator is limited to the creator's Stripe balance and to offsets against future payments through ViewStage: ViewStage configures Stripe not to reclaim a negative balance from the creator's external bank account. Where a creator does not deliver or work is not approved, no settlement is charged for that work, and Section U8 governs the refund of any charge for a settlement that cannot be completed.
